GA is my state........My situation is as follows a Husband (Anthony) and Wife (Maria) and myself David want to form a coporation. Maria cannot be on any of the incorporation papers because it would be a conflict of intrest within her company. We feel that Maria is worth 20% of Shares, Anthony and Myself are worth 40% of shares. Anthony feels like we should go 60/40 in his favor and he will pay Maria under the table. I do not want to lose equal power at 60/40 Im pretty sure I would have no power if it came down to a major major corporate dicision ......what would be a good route to go with this

Can Anthony and I be 50/50 owners but 60/40 shareholders?
