What is the name of your state?

I and my friends have started a small company and just found
one investor. In order to sign the contract with them,
they want us first sign a contract(or agreement) with a
Trustee of LACA Investment Trust. Can anybody let me know
if it is a normal way to do it and why it is needed? What
will happen to our current company, such as Name, Ownership....
