What is the name of your state (only U.S. law)? Nevada

Ex was listed as secretary when I set up my business. No legal agreement was made regarding wages, insurance, what would happen if we split, etc... Ex wanted to help with the books and felt it best to be listed as secretary. Is the ex entitled to a percentage of my company?

If you ex owns a portion of the company, then she is entitled to a piece of the company.

Simply being an officer may not constitute ownership.

But your inaction and bad planning don't help your case.

You need to clarify if she is an owner.

**A: on the state registration docs, who are listed as owners/stockholders?

Probably not

Unless you have some type of agreement giving your ex shares of the corporation or membership in the LLC, then there is no duty other than employer-employee or company-contractor.
