Can a California Corporation hold a special shareholders meeting via USMAIL or must it have a specified date, time, and LOCATION which shareholders can attend? This special meeting is not to elect Directors but is to vote a ballot on a re-structuring of company debt into equity. Ballots would be sent to each shareholder along with any other forms required - notices, waivers, etc.

A mailout is not considered a shareholders meeting but a ballot could be done via US mail. This is common practice.
