Stock Holder Rights?

What is the name of your state? California.
I owned stock in a company A that sold a portion off to another company B, some proceeds were stock in company B. Stockholders in A did not receive any rights to Stock B, Company A has used it as general proceeds for operating expenses, etc. Seems unethical if not illegal?
