Group wants to form an investment club/company. All profits will split between donations to non-profits and re-investment. Can we form as a non-profit club/co? Will we have to pay taxes on the gains? What are the tax laws for all of this?

Hold on while I reprint the entire U.S. Tax Code.

You've got to be kidding me. With such a generic question like "What are the tax laws for all of this?", it would take hours, possibly days, to come up with all the various permutations in order to give you an answer. The best thing we can tell you is to see an attorney who specializes in corporate law.
