In establishing a startup partnership with limited liability in the US with two equal partners (50 - 50 partnership), how can we write right a termination agreement that in the event of a dispute enables one party to sell his shares at a fair market price and provides first option on the shares to the remaining partner? one owner is a non-profit organization which is not a US citizen/resident.
