What is the name of your state? Incorporated in Delaware

We are having major issues with an equal partner (3 partners in total) and want her removed. She will not go easily and has made everything difficult on us.

We HAVE NOT signed any operating agreement and want to know our rights to eliminate this partner, or at least remove this partner from being a paid employee.

All 3 partners are both paid employees, as well as equal partners. 2 of the 3 partners want to remove the third as cleanly as possible.

Is there a default operating agreement that falls into place if nothing has been signed? And if not, what rights do the 2 partners have to remove the third? Where can I find more about the law in regards to legally removing an employee/partner?

Thanks,
Mario
