Web hosting reseller agreement question


I am a web hosting reseller, which in brief is a person who sells hosting and makes a percentage and has a agreement with another company to give certain aspects such as servers, billing, support, etc. I have a agreement, which went up for renewal around February. We have been in contract talks since then, no contract has been signed and a few new drafts have been made. The existing contract says day to and will notify if each side wants to move. In the past I had to put the companies name as the owner of the domain to obtain a certificate as I did not have a current business license at the time. This was agreeed and has email evidense of the agreement that this would be done to get the cert and would just be to get around getting the business number, but I would still have control. Well talks have gotten harsher and the other company is trying to force me into signing a new contract which I dont want to sign. And they say if I dont sign, the contract will expire and they will take over the domain, which I copyright and own all the design/programs that are on it. So what can I do, can I cancel and force them to uphold the old contract and move the domain over to my name and move to another company? I have proof in email for this to be agreed.
