What is the name of your state? Oregon

My company is set up as a Sub-S Corporation. I am retiring from the business and want to sell my shares to another shareholder; however the other shareholder has no available funds to make the purchase. I have looked into stock redemption as a possibility and ESOP also. I am not clear how best to proceed.
