What is a Protector of an LLC?

What is the name of your state (only U.S. law)? We are incorporated in WI. The business is located in IN.

One of the members of our LLC is not holding up his end of the deal. He is also one of the managers. I am the director of the LLC and would like to remove him as a manager and eventually remove him from the corporation. From what I understand the Protector of an LLC can do this.

How is a Protector appointed? Can the Protector be a member of the LLC? If the Protector is voted in by the members of the LLC, is it by majority? Can the person being voted in also cast a vote?

Any help on how to deal with this guy would help.

If there was not a protector named in the organizing documents, you are probably out of luck. You would have a problem trying to amend the documents now as you have a specific goal in mind which would be detremential to a minority member and you might be in violation of your duties to a fellow member and should see an attorney. Besides, if you had the ability to amend to that level, you can accomplish your goal more easily. The end result will be to buy the person out.
