Do I need to file a 1041?

What is the name of your state (only U.S. law)?

All assets of an estate (small) were distributed in 2009. There was no income or expenses to report (prior year had all income reported and taxed).

Do I have to file a 1041 to show the estate closed, even though it will be all zeros?

I would. If you don't they'll ask for one eventually.
