Personal liability for corporate tax payment

What is the name of your state? Alabama

I was fired from a company in January of 2003...I helped start the company, I filed the incorporation papers, etc. so my contact name is on these papers. 2 years after I was let go, a group of investors can and shut down the company in the middle of the night and moved the company to Texas and combined it with an existing company. Now, the IRS is coming after me for 2004 taxes that were never paid and I wasn't even there much less responsible. They have even placed a lien on my personal property. Can they do this? Can they even do this to personal property if someone was responsible?

Q: Can they do this?

A: Sounds like they already have.

Q: Can they even do this to personal property if someone was responsible?

A: If you signed, then you are responsible.

You need to hire a tax attorney, immediately. Apparently you were an officer of the company when you helped to start it. That is why they are going after you. However, if you can prove that you were not an officer of the company for the years in which the tax was not paid, you may be released from liabiiity. However, this is not something that you should attempt to fight on your own.
