What is the name of your state? California

My husband was the controller of a company, and was the one who signed and submitted the taxes for sales taxes. The company was in financial difficulty and did not pay sales taxes due for a particular quarter. He resigned from the comany a couple of months later. The company has not closed but rather changed their name and is still operating???? He is now being held resposible for paying these outstanding taxes($400K) even though he was an employee, not an officer of the company. He paid everything under instruction from the CEO who is not even mentioned!! How can this be right or even fair?
