I need serious HELP in Virginia

My dad (58, divorced, disabled for 23 months which means no medical insurance) died feb 5 01. He left a house worth 65,000.00 w/ a 30,000.00 lein,two vehicles worth 4,500.00, no money but a retirement benefit plan for 50,000.00 apon turning 65. He recieved this plan dec 19 98 from the "company" he worked for for 34 years. The plan has a preretirement death benifit payable to his beneficiary (me) for 25,000.00. During his 9 month terminal sickness (which he stayed at home) he recieved medicaid (his medical bills would have added up to 1-2 hundred thousand dollars).The "company" wants to pay his estate 48,000.00. The estate has not gotten this money, but has recieved a letter of confirmation. I am the exector of his now 116,000.00 (69,500.00 without the money) estate.I have recieved a letter and a simple question form from medicaid stating they have the right to recover funds (codes 32.1-327 & CFR 42 433.36).I was told not to send in the form until the estate recieves the money. If the estate doesn't RECIEVE the money until after a year of his death, can medicaid still take it? Can medicaid take his house in which I am residing? Why cant the "company" pay the beneficary the 48,000.00 instead of the 25,000.00?
