Hi,

I have an idea. I want to sign a nondisclosure agreement with potential inventors. They want me send them the agreement for review first. If I include details of my idea into the agreement, they might steal my idea and refuse to sign it. If I don't include any details of my idea in the agreement and tell them after they sign the agreement, how can I prove that I have disclosed it to the investors? How can I prove that I have disclosed something verbally to the investors after they sign the agreement? Should anything I will disclose to the inverstors be included in the agreement?

One should not put any specific information in the non-disclosure agreement. Once it is signed, you could send the information by fax to be able to prove what info you provided and when. The fax confirmation will have the date stamp on it. Alternatively, you could send it by secure e-mail.

That way, in addition to the oral presentation, you will have some proof.

If you have not disclosed your idea to anyone in the public domain you may find that you can apply for a patent. Filing a patent application can be done personally by obtaining an application form from your local patent office. Initial filing fees are not usually that expensive. But you may find the paperwork a bit daunting. And therefore professional help from a patent agent may be wise.

One trick I have often used is to mail your drawings ideas to your accountant, bank manager, attorney registered mail. Prior to any date you reveal your ideas to anyone else you will have atleast established there is Your Prior Art if you believe your idea to be unique and new.
