What is the name of your state (only U.S. law)?

Say a person wants to sell franchises of a business that is currently sort of a "new" sector. Is it violating any laws out there to:

A) sell the franchises, but then under a different entity (although controlled by the same person) sell "Business Opportunities" of a similar concept? There wouldn't be any direct competition between the two because the actual type of food being sold would be different, but both the franchise and the Biz Opp would be selling food products using almost identical systems. Basically the Franchisee would get a name, system, and support. And the Biz Opp would get the system only and would be free to name it whatever they want, and would get no real support along the way.

B) Require either the franchisee to buy the specific equipment from a company owned by the same person that owns the franchise company?
