Long Story shortened ! 23 yr old Roofing Business having lots of issues, go's and becomes an S-Corp. - Owner, Director / Officer Wife Director / Officer & Son Director / Officer ALL of them are the Owners they hold the majority of the shares, O= 5,000 W= 2,000 & S= 1,000.

I was elected as Sec / officer in 7-2005, offered 100 shares for $ 100.00 At the end of 2005 none of the share holders ( 7 ) of them plus the OWNERS we all could not file our taxes & were never paid our dividends.

in 2007 all shares were bought / sold back to S-corp. But Not Refunded at that time to any of us, until 6-2008, So refund was much later than when shares were returned to the S-Corp. There is currently NO docs showing the changes to any of the agencies, Sec of State, Corp. Compliance, etc., The S-corp owes $ 21,000.00 plus to State Fund 2007 -thru 2009 yrs.
Never Liened ? and other policies while OWEING $.

I Left to Alaska 2009 returned 2010, I got my C-39 license in hand 7-2011. State Fund. says I owe for S-corp debit because I was an officer. I only owned 100 shares less then 1 %.

The Problem: Before I can get Workers Comp Ins. They (STATE FUND ) wants me to pay the debit ! I'm Not RESPONSIBLE FOR HIS DEBIT! SO now I can't sign contracts to make $ without W.C No other Market for a Roofer under $250,000.00 in payroll ? To top it off I'm a ( WOB ) a Woman owned and operated Business Owner with a client list to make 3 MILLION in my first yr ! No Joke. I really need some help...... I have e-mails of all of this to share.

What you owned is irrelevant. You could have owned ZERO shares and be held responsible because you were a corporate officer. You could have owned 60% of the shares and NOT be responsible because you were NOT an officer and didn't run the business.

Bottom line, as an officer you CAN be held liable for these unpaid taxes.
