Although it might be unlikely that your former business partner will come back to cause you problems if you try to sell the business - and you obviously know him better than any of us - the fact is that he could.

You do not appear to have handled all that needed handling when your business partner left. He apparently remains the majority shareholder.

Again, a personal review by a legal professional in your area is what I advise.
