I am concerened about the following close in a commercilization agreement I have to sign with a company. The company is interested in marketing my IP.

Net Revenue means the total of all revenue received by Unisearch in respect of Unisearch’s commercialisation of the Invention IP less costs incurred by Unisearch being payments made by Unisearch for the acquisition from third parties of goods and services directly connected with that commercialisation including the costs of registering, protecting and enforcing the Invention IP, creation of prototypes, models and samples, research and development, liabilities, insurance, legal, financial and technical advice, marketing and travel (but for the avoidance of doubt does not include revenue owed to but not received by Unisearch); and

Revenue Shares means the distribution of Net Revenue set out in the Details.
