What are the resposibilities and liabilities of a registered agent of a Florida corporation. All officiers bailed after company started to fail and business debts remain. Registered agent who was also the secretary of treasurey and the only officier still on file with the state of Florida in this corporation failed to pay the expenses of the company. Is the treasurer/ registered agent liable? or all of the original officiers as well?

The whole purpose of incorporating a company is to protect its shareholders and officers from personal liability for the company's debts.

The responsibilities of a registered agent include accepting service of legal documents on behalf of the corporation and receiving tax or other official documents.
