Hello, people. I'm in Arizona, but I think that's irrelevant.
Of course, this forum often works with minute legal Contract details,
but I'm just looking for... I dunno'... Could this simple "Agreement" work?
The plan is to send emails to the C-level Suppliers in the industry:

"
Hello,

I was a Promotional Products Distriibutor for 20 years, and I now have a brilliant idea.
It applies easily to your popular foam can coozies, and can be applied to many items:
basically anything that you hold in your hand and drink from.
My guess is that your additional cost to implement this idea could be $0.001 per unit, and the items retail at well over $1.
I'd like to give you this idea, in exchange for $0.01 per unit manufactured that uses this idea.
I'll send a picture and a complete description, and you'll know Exactly what I'm referring to.

And that's about it for the Legalese text here.
I want that above paragraph to be It: Our Deal / Contract / Agreement.

Please forward this to an authorized decision maker for a proposal such as this.

Your question is beyond the scope of this forum. I suggest consulting with an attorney in your area.

First, it is highly unlikely that anyone will take an emailed proposal seriously.

In addition, there is nothing in what you propose (i.e., sending a photo and description of your brilliant idea) that would prevent a recipient of your email from taking your brilliant idea, once you disclose it, and adopting it for themselves.

If you want to protect your idea with a plan to profit from it in the future, you should seek out the assistance of a business law professional in your area. What you say to the attorney will be held in confidence.

Your thoughts,

For the two cents they are worth.

1 - That's not an agreement. It's an offer. You need acceptance (and a few other elements) for it to be an agreement.

2 - If your "idea" can be produced, apply for a patent. Study up at the US Patent and Trademark Office's website.

To be eligible for a patent, an invention must be novel and non-obvious. I have some concern that the idea as described is neither - but a patent agent could be consulted. Or Mark could contact the Inventors Assistance Center, accessed at the link below.

Quincy, Yeah, they might ignore an email. Darn.
But if they do AGREE to the above terms, then I'd at least have That in writing.
Of course, some Trusting (and hoping) would be involved.

Jack, OK, I s'pose it's an Offer to enter an Agreement.
A Patent is just what I'm trying to avoid, only because I've assumed that it is a lengthy and expensive process.

Quincy, I think that it IS "novel and non-obvious".
Thanks for that link.
Through the basic "Intellectual Property" Identifier, this might qualify for a Design patent or a Utility patent.
I'm unable to view your full profile, Quincy, but I'm going to ASSUME that you're a stand-up guy.
How's about if I direct-message to You the picture/description of this Brilliant idea, for further discussion.?
OK?

I am a “stand-up guy” but please do NOT send me the pictures/description of your brilliant idea. That would not be a brilliant idea. :)

If you want to discuss and disclose your idea to better determine if seeking a patent would be wise, I recommend you sit down with an IP/patent attorney. If you want to discuss and disclose your idea to see how best to get an investor interested, I recommend you sit down with a business law attorney.

If the idea is as brilliant as you say, you will want to keep it confidential.

The attorney you choose can work with you on getting a patent application submitted or on drafting a proper business letter to companies that will protect your idea while attracting the interest in your idea that you want. Anything discussed with the attorney will be kept confidential.
