FRANCHISE UFOC OFFERING?

IN 1996 I PURCHASED A BUS.OPP. AND THE FTC SAYS IT IS A FRANCHISE.

Q:IF I WAS NOT OFFERED A UFOC - CIRCULAR OFFERING IS THERE A BINDING CONTRACT?

PLEASE HELP!!!
