Funder Jurisdiction Over A Nonprofit Agency

The Board of Directors for a nonprofit agency has several membes that have served for many years. A particular funder has been very aggressive in pushing an immediate Board transition. The agency that the Board represensents is almost bankrupt due to an incompetent Executive Director and there are no funds available for the Board to seek legal counsel. The Board has no problem with the transition; they simply want to ensure the agency is moving in the right direction before tendering resignations. The funder has also stated a new Executive Director cannot be hired until a new Board is in place, as they feel the current Board is weak and should not participate in any hiring processes. What is the funder's legal authority in this matter and the Board of Directors rights and responsibilities by law? Thank you so much!
