Getting squeezed out

I have been at my present job for 3 years as a director at the corp. office reporting to the President/CEO. Recently a salaried employee (manager level) at one of our operation centers was let go. This employee reported (with a dotted line) to me and (direclty) to his general manager on site.

With that said, the President of the company asked if I would fill this position on a temporary basis in addition to my other corp. duties. I expressed my unwillingness to do this, and my Pres. got himself into a huff and said " well if you wont' do this, then I dont' know what we're going to do with you". I said that in order for me to accept I would need a defintive date of departure. I was given a date which has come and gone. When I confronted my Pres. he said that he is not eager to fill the position and said that I was more valuable to him in this capacity. He told me that in order for me to get back to the corp. office, I would have to write an operating manual for this position (which needs to be approved by him) and complete this list of additional requirments (which I haven't seen yet) The reality of the situation is that he wants to have his cake and eat it too. He can save anywhere from $40-$50k per year keeping me in this position. I need to know if I have any legal recourse here?? I was forced into this position and pretty much threatened with dismissal if I bucked that decision. Another problem is that the corp employees and operation center employees have different policies and paid holidays and I am being treated like and O-Center employee. Is this allowed?? What can I do??
