What is the name of your state? CA
Hi,
I have a California S Corp. How do I write corporate minutes? I know I have to record the names of officers attending, the dates, location, and financial decisions made (such as salaries to pay). Is there anything else I need to record?

Are there different types of meetings we have to conduct? For example, annual meetings vs regular meetings? Are there things we have to do or record to protect our "Corporate shield" ?

Is there a website where I can download a legal form ?

The whole nature of minutes is that they are a written record of what was discussed and what occurred at the meeting. There is no specific format.

Try a self-help book on how to incorporate, with forms. There will likely be sample minutes & resolutions.

Here's what was decided at the meeting: [decisions].

Nothing further appearing, the meeting was adjourned.

I believe you also need to include any waivers signed by board members regarding attendance or notification of meetings.

To protect yourself, approve a listing of all encumbrances entered into by the corporation and any large purchases.

As I started to write, I keep thinking of things I'd include. Get a nolopress book and follow the format. It's not hard, but you need to make sure all things that need to be recorded are recorded.
