I reside in Knox County Ohio and the defendant resides in Cuyahoga County. I filed a claim in Knox County and the defendant responded with a motion to dismiss due to improper venue.

I retired from a corpration with a Close Corp Agreement outlining the retirement process and the sell/buy mechanism of my shares. In January of 2000 at our annual corporate meeting all of the shareholders agreed to invest $2000 more in the first quarter of 2001. As of April 25th when I resigned nobody had mad any such payment. The company refuses to honor our agreement and says that the promised money and the actual investment wash each other out. In our notes from the meeting I wrote that the new investment would be in the form of a stock purchase, which should go without saying.

And when I call the corporate attorney for the corporation and request my stock certificates he refuses to give them to me. Can he do this?

About the venue question, most states require small claims court actions be filed in the county of the defendant. I would guess Ohio is one of those states.
