I was passed over for an opportunity at work. As a joke, and to prove that I could do the work, I did a rough redesign of the company website. I kept the general feel of the site but changed the name and added / manipulated content. It was entirely intended as a satirical work. The 'piece' was not posted or published. I did not share this 'piece' with anyone, but did give a CD copy to the boss whom I consider a friend, as a joke. Needless to say the boss was none-too-happy. I am concerned that he is planning to sue me for Libel. Does he have a case? Thanks for your help.

No, he can't sue you. The only way the CD would hurt the company's rep is if you showed it to someone outside the company. If the boss threatened you with a libel suit, he is not only humorless, he is stupid.
