New POA and out of control President

What is the name of your state? TEXAS

We have a new POA that was just turned over from the developers. We have elected officers but not depeloped the corporate entity or a set of by-laws. The elected president has taken over completely, setting up the corporate entity, writing the by-laws, making sure that only the officers need to vote to create special assessments, he's contacted his attorney to draw up the documents, he's designated himself as the only legal signature authority, etc, etc. NO ONE ELSE, EVEN THE OFFICERS HAS SEEN WHAT HE'S DONE OR BEEN ABLE TO BE INVOLVED OR PROVIDE INPUT. Is this legal, can the President just take off and do his own thing like that????

**A: if this is a new project, there should already be recorded CC&R's.
If there are no CC&R's, there is going to be a huge mess soon.

It's time for y'all to call a board meeting and ask your lawyer how to get this thing off the ground correctly.

**A: maybe the Board President is the POA attorney too. Same lame head, different hat.
