I have a site that provides access to health questionnaires used to evaluate patients. Users want access to a copyrighted survey. The owner will grant permission to use in exchange for a small fee per month per user. We have agreed to this arrangement, but are not sure how to establish this agreement in writing. Any suggestions on what kind of agreement to use or could it be handled by a simple letter of agreement specifying the arrangement and signed by both?

Really, you want to clearly spell out what the copyright owner is giving to you and what rights you have to distribute it to others. You will also need provisions in there addressing who pays, when, etc. I am sure that the copyright owner (and you) would want provisions relating to what end users can and cannot do with the copyrighted materials.

You really should seek the assistance of an attorney on this. A bad agreement could bite back down the road.

Thanks for the reply. We have located a basic contract which explicitly addresses the issues you raised. It is under review now and will likely be modified somewhat. The limits of use are being defined and will reflect the same limits established by the owner in his own distribution of the survey.
