Fla.-My uncle and I started an S-corp, last year. I am the president, and he is the CEO. We handle everything 50/50. However, he is becomming more and more of a control freak. He is brutile on our emplyees, and I'm sick of it. Customers have also complained, about him. What can I do?

Removal of CEO

Under Sec. 607.0842 of the Florida corporations code, the board of directors may remove any officer at any time with or without cause. So to remove the CEO requires a board vote under the rules specifies in the Articles or By Laws.

If the CEO is incompetent, or hurting the corporation, you could also bring a shareholder's derivative suit to have him removed.
