So this will be a bit of a long post... I apologize in advance.

Long story short, I paid a company ran by one individual in New York money (in the thousands of dollars) to be the exclusive reseller of computer software they were developing. The agreement was that I was to be the exclusive reseller and that no one else was to be allowed to sell the software. I eventually shut down my business and the other person agreed to return my money upon the sale of their business. Well, the person declared bankruptcy on their business and has since changed the name of their company and they are now selling the EXACT same software under a different company name. He refuses to return my money and keeps threatening me with legal action.

SO, I have decided that I want to start a website called www.hiscompanynameSUCKS.com. His software relies 100% off of online orders. I am good with search engine optimization and am hoping to have this website come up in search engine results anytime someone searches for his company name.

Now here is where I need everyone else's advice; I want to do this legally, but I am wondering what I need to avoid. I have looked around and found many "Wal-Mart Sucks" related websites out there. My question is what do I need to avoid posting/publishing on the website so I do not get in trouble? I understand the basics of slander/libel; I cannot post anything that is not true. If someone could expand on this a little bit I would appreciate it.

Basically, I am wondering what I am up against and what I need to avoid in order to act within the law. Your help and advice is greatly appreciated.
