What is the name of your state? TX

We are in the process of finding investment for an LLC. I understand, that we cannot pay commission to anyone who puts us together with an investor, but who is not a licensed broker.

What if that person owns a part of the company?

My understanding is that equity in the company also cannot be contingent upon brining an investor - in this case equity is a form of a commission. Right?

But is it legal to give a person a part of the company upon promise or representation of a potential to bring an investor?
