What is the name of your state (only U.S. law)? CA / DE

I own shares in a private company registered in Delaware. The company has sent me a non-disclosure agreement which it is asking that I sign before it will send me the latest audited financials for the company. Must I sign or am I entitled to the financials without condition because I am a shareholder?

Do you intend on disclosing to unauthorized parties? If not then why do you not want to sign it?

I know that in employee-owned companies the employee shareholders certainly do not have unrestricted rights to the financials.
