About 10 years ago, I started a single-member LLC in New York. I operated it for 2 years and then idled it, but never filed for dissolution.
When I operated the business, it was treated as passthrough on taxes. That is, I put it on schedule C of my tax return. I never filed a separate tax return for the LLC.
When I stopped operating the business and moved out of NY, I stopped putting the LLC on my tax return. The business has had no activity, revenue or expenses, so no tax forms have been filed with NY since the 2002 tax year. Every year, a form comes to the family house in NY with a bill for $15 to keep the LLC alive and I pay it.
I'd like to formally dissolve the LLC, but the NY department of state website says that I need clearance from the tax department. The tax department website says that I need to file tax returns for every year that the LLC existed, but I'm not sure that this is valid since the LLC never had separate tax forms filed for it in the first place.
How do I go about dissolving an LLC like this without risking creating trouble for myself.
