Some time ago I signed an employment contract with a local consulting firm in the state of Michigan. Reading over the contract it states that some of the terms will remain in effect for 12 months after the termination of the agreement. Nowhere in the contract does it state what constitutes a "termination of the agreement". How is this determined?

Then someone better amend the contract to state a definition.

That's exactly what I wanted to hear. Do you think that arguement would hold up in court?

In other words, could the contract be deemed as "invalid". Obviously, I'm searching for any way to nullify part or all of this contract. Thanks.

My response:

There's no way to know. The court could say the contract is ambiguous, or the court could do equity and say that the contract was terminated on the date you stopped working. However, there could be an argument as to the date you did, in fact, stop working.

Termination definitions should always include, and be defined with, a "date certain".

Is there a way to amend the contract? I have no idea, because it depends upon whether the other party wants to amend it.
