Thanks for all the advices, it’s good to hear both sides of the argument. I think this topic itself is an gray area and depends on situations.

My friend understands and he asks me to tell him what I can do or cannot do so it doesn’t interfere/violate my H1B. So here is what I plan to draw the line:
- no compensation now or future
- I will only provide feedback and discuss ideas, and will not do any work such as drafting documents/brochures, operating the business etc
- I will not join the business in the future (Is this necessary?)

I am open for suggestions, thanks!
The bolded is work. This is what an employer would do with an employee - not an unknown someone on the street or in a diner.

Your friend needs to hire competent advisors - attorney, CPA, business development specialist. He can take courses at the local community college on small business development.

What if my friend also asks other US citizens, his wife/another friend/relative the same questions and get feedback and opinions. If it is work, then he has to hire and pay those people, right? Or does that make it “not work”?

The person who told you it is work is the only person who thinks it is work...and that person is NOT an expert in any way on H1b visas.
