THEY decided not to keep corporation, WE picked it up and regitered it. THEY continued to use trademark, issue checks, sell membership, accumulate bills and charge to accounts under OUR business. WE informed them of the ramifications, THEY ignore US.

What legal recourse do WE have?

Not keep the corporation or not keep the name? Trademarks are a federal right & you didn't get it just because you registered the name. You'll have to inform everyone that they are not authorized to charge to your account or issue checks. Talk to a corporate lawyer about suing them for interference with your business.
