What is the name of your state (only U.S. law)? Iowa

I developed a methodology and materials for a consulting service. I provided this service in my own business for many years and then returned to employment.

A company similar to the one I ran is considering purchasing ownership of this methodology and materials - meaning that I would actually transfer ownership rights from myself to them. I have already provided the service to their own company, so they know its benefits firsthand.

Before they invest, however, they want to try it and see how their own market will respond - as it would be a new service offering for them in a different market than the one I served.

We have verbally agreed that the best option would be for me to sell them a couple of uses of the material so they can see if it is well received. They would pay me $1000 in advance and be able to use the materials twice.

We already have solid confidentiality and non-disclosure agreements in place.

What type of legal document(s) would I need in order to allow them to use this two times for a prepaid price? The material itself is entirely electronic(PowerPoint and Word documents), so it won't get "used up."

Do you have federally registered rights in your methodology and/or materials?

What it appears you are looking for is a nonexclusive license where you will grant rights in your work to the company. The license can be tailored so that the company can use what you developed for a limited amount of time and for a limited purpose and at whatever cost you and the company agree on.

I recommend you sit down with an attorney in your area who can draft this license to cover what it needs to cover while at the same time protecting your rights. If your confidentiality and nondisclosure agreements were not drafted by an attorney and you have not had these agreements reviewed by an attorney yet, this would be a good time to do that, as well.
