Are Underwriters Lockup Agreements enforced? I signed one as an ex-employee who left with options that I had exercised and now own stock. The company goes public in the next six months. I signed it and faxed the lockup agreement (haven't mailed original yet) to the company before thinking about whether I *had* to sign it or not. It prevents me from selling my shares before 6 months after the offering.

Q1: Did I have to sign it? I already owned the shares, not options, and I'm not selling as part of the IPO with the senior execs. I haven't been an employee for many years.

Q2: Now that I signed it and faxed it do I have to abide by it? ie. is anyone checking up on small shareholders like me?

Q3: I didn't mail the original to them, they only have the faxed version. Is it only valid if they have the original.
