Complicated Attorney General Request

What is the name of your state (only U.S. law)? CA

Our company was formed in California and while operating there accrued a complaint to the Attorney General from a client requesting a substantial refund.

Prior to receiving the complaint; the company had uprooted and transferred ownership in the Philippines (new business license was created, ownership of website, phone numbers, servers et al given to new owner; a Philippine citizen).

The AG of Washington State is harrassing us to refund this client but we are not sure whose liability it is? The new company or the old owners?

What should we tell the AG? The only thing we are considerably worried about is them attacking our web domain hosting/registration over 'non-compliance', nor can we really afford to refund this substantial amount the client is asking.

well thats the other thing, do we need to see an american attorney or a philippine? we don't even have visas to enter the states so I am pretty peturbed the AG is wanting us to pay out for money we never got.

but at the same time we are fearful of their totalitarian powers of possibly getting our website/servers turned off

Sounds like you owe the money and you want to get out of paying it by claiming you can't afford to and that you're "confused" as to who to send it to. And, of course, you're lambasting the AG for doing their job, which is to get justice for the other company.

Hire an attorney. He or she can deal with your "questions," and you''ll need him or her when the AG comes after you.

No there is a misunderstanding. Our company was sold and re-opened overseas prior to receiving this complaint from the AG. The AG will not beable to sue us, but we are worried they could tamper with our american interests.

Hire an attorney. Your concern over the "totalitarian" Attorney General and the money you "can't" pay suggest that you need one.
