figuring out counterclaim damages HELP!!!!

What is the name of your state? VT Am counterclaiming on a small claims suit. The plaintiff is suing for an invoice that is fraudulent. The plaintiff whom was the treasurer of our company was writing checks to themselves then sending an invoice a few days later with dates and amounts due going back a year!! The company president nor the secretary had any idea the treasurer was working and paying themselves for services not agreed to do. now this person is suing the company for the money after cashing more checks in their name. What basis can we counterclaim on, and can we sue for damages or fraud in a small claims court. Vermont small claims is very limited. Thanks for your help.

I know, I know. But my mom got served and has until tomorrow. Again, we have all the proof. checks, accountings, etc. My question is in a small claims court how do you countersue for damages on fraud?

$2280.00 is what she is suing my mom for. She withdrew from corporation April 15th of 2007. Then she wrote herself a check for 2000.00 on may 2nd, and on may 3rd wrote herself two more checks for over 900.00 all in her name. 3 days later sent an invoice to corporation listing hours worked charging 40 an hour for work going back over a year ago. Some of the charges were.....wrapping xmas presents for corporation, talking to secretary of states office to get phone numbers for corporation, talking to presidents brother in law for two hours. See how crazy this is?? She was the treasurer and paid bills. She claims she can do what she wants since "she" can pay the bills and the invoice she sent is a bill. Thanks
