What is the name of your state? MA

I left a company in December 2004. I left on my volition and signed all appropriate paperwork as part of the exit process. In February of 2008, I rolled over a 401k plan from that company. One week later, I received a letter saying that I owed the company money for tuition reimbursement. Is the company within it's rights to seek payment for this benefit 3.5 years later?

One week later, I received a letter saying that I owed the company money for tuition reimbursement. When you received the tuition money, did you sign an agreement saying it must be repaid and if so, under what circumstances?

The policy states that employees who leave after completing the last course within one year are required to pay 100% of the assistance paid.

Yes, they can still come after you. SOL for contracts in your state is 6 years.

I asked for a signed copy of the policy and the only thing I received was a copy of the policy itself. If I signed it (even electronically), I don't remeber.
Would a copy of my exit paperwork be valuable?
