I understand this may be out of the scope of this forum. Any help is greatly appreciated.

My Alabama, family-owned company was recently sold to a European corporation. I was VP of the Board of Directors. Unknown to me, I was removed and replaced by a family member of the owner at some point during the sale. I was not alerted to being voted off nor am I aware that there was a vote in the first place.

Is this action legal? If not, do I have any recourse?

Without a personal review of all facts (including the company and corporation involved and the terms of the sale of the company to the corporation), it would be impossible for any of us to tell you if your removal from the Board was legal or if you have any legal recourse.

Sorry. This does, indeed, fall outside the scope of this forum.

I suggest you have an attorney in your area of Alabama personally review the matter.

It's impossible to tell with the scant details. Was it a corporation before? What do you mean sold? Were the companies merged? Do you still own stock in the original company? Unless you are a shareholder, there's not likely any obligation that they notify you of anything.
