Good afternoon. I'm going to throw out the situation and see if there is any business-type opportunity for me in this from the knowledgeable folks on here.

I'm opening a family entertainment franchise (call it FranX). Additionally, a current established company (call it CompY) has technology that I want to incorporate into FranX as an additional amenity/customer draw/income producing option.

The current franchiser has 40+ Stores open with over a 100 more to open mostly around the US. This franchise is one of about 3 or 4 major competitors in this particular family entertainment market subset.

My question: is there some type of business opportunity or setup where I'm ultimately bringing/distributing this product to my franchiser and the other franchise competitors?

More background: CompY makes a solid product but right now for a completely different purpose. I've been in multiple discussions with them about incorporating this into this business-type venture. They were absolutely not tracking on its use in the manner I would utilize it in.

I understand I don't have intellectual rights but is there something I can setup legal/business wise to produce income off my idea to incorporate this into a different area not originally thought of by CompY?

I'm absolutely not being greedy. I'm wholly ignorant on commerical business and legal aspects related to interactions like this.

I would appreciate any advice on topic, any advice about a specific-type lawyer I should probably reach out too, etc.

Thanks for your time.

What is the name of your state, deuce0515, or, if not in the US, what is the name of your country?

Because you admit to being "wholly ignorant on commercial business and legal aspects related to interactions" like you describe, you will need to seek out professional assistance in your area. What you are looking for goes beyond what assistance a legal forum can offer. You will need all aspects of your business plans personally reviewed.

A business law attorney could be one to locate for this needed help and, if you are located in the US, you could find an attorney in your area by contacting your state's Bar Association.

I can tell you that you will need to acquire permission from CompY if you want to use CompY's rights-protected technology.

Good luck.
