WItnesses and notarization are generally not needed to make a contract binding.

Both parties agreeing to the contract is. Why would you think it isn't.

Stop SHOUTING. Writing in all caps is shouting. It's rude, annoying, and hard to read.

As for your question, it might be binding, or it might not, depending on the circumstances.

Details count. Start at the beginning, when the two of you first got into this situation. Explain what happened and how the dispute arose.
