Non-disclosure agreements (or confidentiality agreements) are legally binding contracts, recognized worldwide.
If the terms of the contract are breached and confidential information is disclosed without authorization, the business whose interests have been compromised can obtain an injunction and file a trade secret lawsuit, recovering damages that include actual damages, punitive damages and/or treble damages.
Trade secrets can include any information that one business uses to gain a competitive edge over other businesses. See the Uniform Trade Secret Act section 1, Definitions.
If you wish to know if the terms of the NDA you have been asked to sign will be upheld in court, you need to have an attorney licensed to practice in your own jurisdiction personally review and analyze it.
