To begin deeds are not “filed”; not in Florida or elsewhere.

To officially reflect transfer of ownership they must be “recorded” (and in Florida) in the office of the Clerk of the Circuit Court for the county or counties in which the property is situated.

Also essential to know is that Florida imposes a number of formalities (a large number in fact) that must be met before the Clerk can accept the document, including the precise formatting of the instrument and the attachment of the needed documentary stamp tax.

If you wish to learn, read Chapter 695 of the Florida States –“Requirements for recording instruments affecting title to real property” and Chapter 201 "Excise Tax on Documents”.

HOWEVER, I strongly urge that a corporate attorney prepare the instrument and see that it is signed and acknowledged by the duly authorized officers of the company and that it is done pursuant to a formally adopted corporate resolution.

Thank you for recommending that. Additionally, if property taxes are due by April 1st, 2013. Due they have to be paid before a property is bought before January 1st?
